Code of Business Ethics

PURPOSE AND COMMITMENT

At JuriSec Technologies, ethics are not a formality. They are the foundation of trust, credibility, and long-term impact.

This Code of Business Ethics defines the principles, values, and standards that guide how we conduct business, deliver services, develop technology-enabled solutions, and engage with clients, partners, regulators, and each other.

We are committed to operating with integrity, professionalism, accountability, and respect for the law in USA and every jurisdiction where we operate.

All directors, officers, employees, consultants, contractors, and representatives of JuriSec are required to understand and comply with this Code.

LEGAL AND REGULATORY COMPLIANCE

JuriSec Technologies operates in full compliance with:

  • Applicable laws and regulations of the USA
  • International regulatory requirements relevant to our services
  • Industry standards governing data protection, cybersecurity, and professional conduct

We do not tolerate intentional violations of law or attempts to circumvent regulatory obligations. Compliance is a minimum standard, not a ceiling.

Where laws differ across jurisdictions, we apply the higher standard of compliance wherever reasonably possible.

INTEGRITY AND PROFESSIONAL CONDUCT

We conduct our business honestly, transparently, and responsibly.

We do not allow commercial pressure to compromise ethical or professional standards.

CONFLICTS OF INTEREST

A conflict of interest arises when personal, financial, or external interests interfere, or appear to interfere, with professional responsibilities.

All personnel must:

  • Disclose actual or potential conflicts promptly
  • Avoid situations where impartiality may be questioned
  • Refrain from using their position for personal gain

JuriSec will assess disclosed conflicts and implement appropriate safeguards, including reassignment or disclosure to affected parties.

CONFIDENTIALITY AND INFORMATION PROTECTION

Protecting confidential and sensitive information is a core ethical obligation.

We are committed to safeguarding:

  • Confidential business information
  • Personal data processed during engagements

All information must be handled in accordance with:

  • Applicable data protection laws

Unauthorized disclosure, misuse, or negligent handling of information is strictly prohibited.

DATA GOVERNANCE AND RESPONSIBLE TECHNOLOGY USE

No one acting on behalf of JuriSec may:

  • Offer, give, solicit, or accept bribes
  • Provide improper payments, gifts, or inducements
  • Attempt to influence officials or decision-makers unlawfully

This applies to dealings with both public and private entities, in USA and internationally.

GIFTS, HOSPITALITY, AND ENTERTAINMENT

Gifts or hospitality may only be offered or accepted if they:

  • Are modest, infrequent, and lawful
  • Do not influence or appear to influence decisions
  • Are consistent with professional norms

Cash gifts or equivalents are strictly prohibited.

When in doubt, disclosure and approval are required.

RESPECT, INCLUSION, AND WORKPLACE CONDUCT

JuriSec is committed to a respectful, inclusive, and professional work environment.

We do not tolerate:

  • Discrimination or harassment
  • Abusive, intimidating, or unethical behavior
  • Retaliation against individuals raising concerns in good faith

RESPONSIBLE CLIENT ENGAGEMENTS

We engage only in work we are competent to perform.

This means we:

ACCURACY OF RECORDS AND REPORTING

All business records, reports, invoices, and communications must be accurate, complete, and truthful.

Falsification, concealment, or manipulation of records is strictly prohibited.

Integrity in documentation is essential for regulatory credibility and organizational trust.

USE OF COMPANY ASSETS

Company assets, systems, data, and intellectual property must be used responsibly and only for legitimate business purposes.

Unauthorized use, misuse, or theft of company resources is not permitted.

SPEAKING UP AND REPORTING CONCERNS

Ethical concerns should be raised promptly and responsibly.

JuriSec encourages reporting of:

  • Ethical violations
  • Legal non-compliance
  • Conflicts of interest
  • Misuse of data or technology

Reports may be made without fear of retaliation. Retaliation against individuals who raise concerns in good faith is strictly prohibited.

ENFORCEMENT AND ACCOUNTABILITY

Violations of this Code may result in disciplinary action, including termination of employment or engagement, and where appropriate, legal action.

Ethical conduct is a condition of working with or representing JuriSec Technologies.

CONTINUOUS IMPROVEMENT

Ethics evolve alongside technology, regulation, and global risk.

We regularly review and update this Code to reflect:

  • Regulatory changes
  • Emerging risks
  • Best practices in governance and compliance

All personnel are expected to stay informed and participate in ethics and compliance initiatives.
